CMI ANTITRUST POLICY

I. Can Manufacturers Institute (CMI)

CMI has from its founding followed a rigorous program of compliance with the Sherman Act and other antitrust statutes. This policy statement provides a reference for members of CMI and others who attend association functions. Everyone that attends CMI meetings is expected to read and understand fully this statement.

CMI is committed to full compliance with antitrust laws. It will not risk impairment of the functions it performs as a trade association by possible misuse of any of its activities in a manner that might violate these laws. The guidelines below have been established to prevent any possibility of violation.

II. Subjects That May Not Be Discussed

Any price agreement among competitors violates the Sherman Act, regardless of reasonableness of the price set or whether the effect of the agreement is to increase, lower, peg or stabilize price levels. It follows that any discussion of prices or price levels at association meetings is not permitted. This includes any discussion of prices of products, supplies, or scrap products. Similarly, there must be no discussion of any elements of company operations that might influence price such as:

Individual company costs of operations, supplies or services
Allowances or discounts
Terms of sale
Margins
Changes in industry position, capacity or inventories except historical data
Plans of individual companies concerning production, distribution or marketing of particular products

Any agreement not to compete among business firms also constitutes a per se violation of the antitrust laws. Accordingly, no discussion of division, territories or customers or similar limitation on nature of business may be held. Concerted refusals to deal (boycotts) are likewise unlawful and no discussions related to this practice are permitted. Included within this prohibition are any discussion of black (or white) lists and any unfavorable reports involving particular suppliers.

III. Meetings

These standards apply to all Board, committee and other meetings sponsored by CMI and all meetings attended by CMI members in that capacity. Each CMI-sponsored meeting must have an agenda approved in advance by CMI legal counsel. The agenda must be strictly followed; there must be no deviations, particularly with regard to subjects described in II, above. Minutes of each meeting should be prepared by a duly designated secretary, approved by counsel and circulated to all in attendance. All participants should conduct themselves in meetings as though they were open to the public.
